conditional GPA with an agreement

I am entering an agreement with a party to sell out my litigation land, the party wants a GPA, therefore i request you to kindly inform me conditional GPA with agreement which contain, time bond,50:50 sharing of owner and party,first my 50% must sale before party 50%, agreements,deed,cash received must be jointly,and i must receive advance from the party while GPA signing, if any things to add kindly suggest
