Legal Question in Business Law in Indiana
Can a company in Indiana that is Administratively Dissolved in 2008 sue now on a contract? The contract was signed before they were administratively dissolved. They have continued to opperate normally after being administratively dissolved. My understanding is that they are only allowed to wrap up business, not continue to opperate. Would the Indiana code make their claims invalid?
The contract was for a facility lease. I closed the business with 2 years remaining on the lease, but their buisness was administratively closed in 2008.

the administrative dissolution does not invalidate liability for the lease. it may prevent them moving forward on the lawsuit until it gets reinstated which is pretty easy to do. the dissolution is not a magic bullet. you need to get a lawyer in your county to defend you and hopefully workout a resolution. good luck.
