Donor wants reimbursement
I have a corporation that had applied for a 501c3 but failed before it could be completed. A donor that donated less than $5000 worth of material/services now wants her money back up on dissolution of the company. There was never a contract written or verbal. She is simply mischaracterizing her donation as a reimbursable expense. She was a volunteer for the organization, but not on the board. This was two years ago. Should I worry?

I think so. A contract is not just a writing. I think you should contact an attorney now.
