How can minority shareholders sell out of a family held corporation at a fair value when the majority will not make a fair offer?

Are the majority owners obliged to buy your shares at a set price? If no agreement can be reached, can you sell them elsewhere? If the answer to these questions is answered in the negative you may be stuck with a bad investment.
