Legal Question in Business Law in Louisiana

two owners have not gotten any profit in their business. One of them wants to get out, and wants the one that is staying to take the debt and to pay her some money. Should the one staying have to pay even if they are in the negative.

I wouldn't; letting them out of pay the company debt is already enough.
