Legal Question in Criminal Law in Louisiana

criminal or civil ?

I was charged with theft by the State of LA because , my business had a contract with the state to buy surplus property, but we were suppose to keep the property for 18 months before we got rid of the property, and in some case we did not keep the property for that amount of time. SO therefore the state wants to charge me with theft by fraud because the property that we bought from them at a DISCOUNTED rate and sold and sometimes made a profit .. they are claiming that it is theft because if they did not sell to our company they could have made more money on !

In your opinon is this a criminal offense !
