Legal Question in Business Law in Maine

Type of document needed

I have formed an LLC and am looking to bring on a few people as founder/ equity partners. In maine what type of document do I need to in order to facilitate each individual. Is this an ''Operating agreement amendment'' or something else?

Thanks

Re: Type of document needed

As you are likely already aware, an LLC is a corporate body, and the operation is controlled by its Operating Agreement. Your LLC may be either member-run or manager-run. If you are the only member, then it is likely you have a member-run LLC. If there are multiple members, then in addition to the Operating Agreement, you may also have a seperate Membership Redemption Agreement. In any event, either of these documents will detail the requirements for approval to admit new members and the recognition by the LLC of the new members' rights. If you are the only member, it should not be difficult to create and execute the proper corporate votes, and reflect the new membership interests in the corporate book. If there are presently multiple members then some negotiation may need to take place before the new members are admitted, but it would still be done by means of a formal written vote, and there is likely no need to amend the Operating Agreement.

Did you set this LLC up yourself? Who is the current Clerk? My office often attends to these sort of corporate matters for clients and I serve as corporate clerk for many clients. I would be happy to discuss further with you at no charge if you wish to contact me at 767-4824. Thanks.
