LLC Rights?

Two members of an LLC started conversations regarding starting up a new company, yet nothing has been done other than talks. It has now come to light to the remaining partners and they are aggressively looking for something to get us with. I had resigned a week before, have an email stating the reception of my resignation, and now I hear they are coming after me for starting a new company. I am not starting a new company and am actively engaged in a job search, with no customers or partners being approached. Even if I had those conversations, do they have anything against me? I have just begun this process and have made initial contact with an attorney, but can't afford the fees. Looking to know what they could do to me? Operating agreement in place...can anything be done over discussions if I can prove nothing has been pursued, nor will it? -- Thank you

Re: LLC Rights?

If you violate the operating agreement, such as by violating any non-compete clause, there may be a claim against you. Not all such clauses are enforceable, depending on their breadth and scope.
