My partner has a business with someone else who wants to leave the business, and I want to step in and continue it under the same name. What do we need to do legally?

What specific steps to take depends on how the business is structured and any governing documents. Is the business a corporation? LLC? Partnership? Limited Partnership? Does the business operated in a regulated industry?
