Legal Question in Civil Litigation in Maryland

previous employment

The company my boyfriend's company went out of business in Dec '08. He was able to find a new job in the same profession. This week he contacted some of the customers from his previous company and now the owner of that company is treatening a lawsuit. Does he have grounds for a lawsuit? His comapny is out of business.
