Substantially more information is required to tell you. Are they buying stock, if so what kind, common or preferred? Are they partners in a partnership or Ltd Parnterhsip? IS this investment part loan and part equity? Are you an LLC, Corporation or Partnership of some kind.
All this will impact the type of agreement to be used. Are they qualified investors so that you are not violating the Massachusetts Blue Sky law or Regulation D of the SEC Act.
IF you want to discuss the matter, please feel free to call me without obligation.

The only thing that a "standard agreement" is going to get for you is standard litigation when the form doesn't fit the transaction and somebody seeks redress; no pre-existing form is going to conform to all of the details of your circumstances. You should consult with your accountant about the structure of the "investment" and then with a lawyer to document it appropriately.
