Legal Question in Business Law in Massachusetts
Out of business
My company has gone out of business due to financial problems. I am now being sued by a previous client for work not completed. I have not been paid for the unfinished work. I am also no longer in business. Do they have the right to sue me personally?

Re: Out of business
If its a straight debt arising out of business, and depending the business was incorporated vs a dba, the answer may vary. One needs more data.

Re: Out of business
It depends on whether you protected yourself from personal liability by incorporating. In any event, you wree not paid for your services so if they do sue, you can respond with a claim that the suit is frivolous and should be dismissed with payment of your costs and attorney's fees.
