Legal Question in Business Law in Massachusetts
Contract entered with person using corporate name after involuntary dissolution
Is a contract valid if Contractor (we found out he has no license either) is using his former company's corporate name after corporation was involuntarily dissolved? Dissolution was two years before contract was signed.
Contractor is using Notice of Contract to extort land owner into paying more for home construction. We don't feel Notice of Contract or Contract can be valid after discovering these facts.

The validity of the contract is not affected by the dissolution of the corporation. What is effected is who you contracted with. The person who signed the contract on behalf of the defunct corporation is personally responsible for the contract.
