Do corporations in Massachussetts need to have an annual meeting and keep copies of minutes or is the annual report that is filed with the Secretary of State sufficient?

A corporation should have annual meetings of its shareholders and board. It should also keep its records in order. Failure to do those things as well as keeping its other business records separate from the personal records and use of the shareholders and officers could result in the corporate veil being pierced should someone sue the corporation.
Bringing corporate documents up to date is not that difficult but does take some time.
