Legal Question in Business Law in Massachusetts

I am a named Officer of my company which is a public company. I also hold approximately 4000 shares of stock. Our CEO has not allowed me into board meetings and I feel I do not have the ability to be heard in areas such as corporate governance and other matters. What legal rights do I have to assert that to allow me to attend meetings and demand the ability to make presentations on board meetings?

What kind of officer are you. What is the CEO's reasoning for failure to involve you. What about the other individuals involved in the board of directors?

Without knowing your position in the company, it is impossible to determine your rights and obligations to the Board. Moreover, you do not indicate what you want to present to the Board, so unless it rises to something that requires Board approval, you may not have a right to make a presentation.

Why doesn't the President want you to make a presentation/

What is the presentation about?

Is it a business decision the Board should approve or is it matter that lies within the decision authority of the President or another Officer of the Company.

Additionally, if there is an applicable employment/officer contract in place, and/or company policies/procedures that might apply here, those (and other things) would be critical to evaluating your rights.
