Is a privately held corporation required to issue annual reports?

In California, a small corporation which is not publicly held does not have to prepare and file an annual report. Its bylaws may require it to make reports to its shareholders, however. In addition, every corporation authorized to do business in California must file an annual statement of officers and directors with the Secretary of State. Finally, shareholders have statutory rights of inspection of the company's books and records. See Corporations Code section 1600 et seq.

Only with the Internal Revenue Service and the Califoronia Board of Equalization. No one else requires a financial report.
