What are the steps taken, and the forms needed, to dissolve a corporation?

First, you need the shareholders and the board of directors to approve the dissolution and a plan of dissolution.
Next, record the Minutes and file them in the Corporate Record Book.
Finally, file a certificate of dissolution with the corporation bureau.
Assuming this is a MA corporation you go to the Corporation division of the Sec of State for MA and download the form and file it with the Corporation bureau.
If you have assets and creditors of the corporation, then you should contact an attorney for assistance before filing the dissolution
