Tax-exempt service organization structure
I'm having trouble figuring out what form an organization should take
if it has the following characteristics: 1. Provides online services to
worldwide relief organizations (these services are also available to the
public); 2. seeks corporate and individual donations of funds,
equipment, services; 3. seeks US government grants; 4. seeks grants
and contracts to perform a subset of the services offered; 5. expects to
receive mostly donations/grants/contracts in excess of the $5000 or
1% limit; 6. could not provide the same level of services on a
commercial, for-fee basis without some level of public or private
support; 7. would like to include non-US citizens as directors,
employees; 8. would like to have ''sister organizations'' or subsidiaries
in other countries; 9. will apply for official UN NGO status. Little seed
money is available and there is a bit of a chicken-and-egg problem
associated with getting donations that could help start things.

You want a non-profit corporation under MGL Ch. 180. I can refer you to a lawyer who specializes in such entities if you want.
