Legal Question in Securities Law in Massachusetts
Equipment Financing
Are liens perfected if a contract reads under my corporate name and the invoice lists my personal name. I was a personal guaranty for my corporation on the contract.

Re: Equipment Financing
1. If you signed a personal guarantee (which would be a seperate block on the contract), you may be personally liable, but I would not be in a position to comment on the effectiveness of the
guarantee without seeing the papers. If the guarantee was enforceable, invoicing you would be proper (if not optimal).
2. Liens against property must be created by a seperate writing. Again, without examining the papers that you signed, I could not comment on what your status is.
Please get in touch if I may be of further assistance.
