business purchase agreement
I am in the process of buying a wholesale distribution company. That business requires us to use another companies computer programs like they've been doing for years. Thats what the computer company does, is charges a monthly fee for the use of their programs. Without the computer programs the business for sale is worthless. Now that the company that has the programs has checked out my business plan, they are saying they don't want to approve me and are now interested in buying the business themselves. They have known it's for sale since Aug. They have shown no signs of interest, now that there is an accepted offer they are trying to flex their muscles and push me out of the deal and take over themselves. The current owner of the business for sale is crushed his dad owned the business and just recently passed. He has inhereted it, and needs to sell it ASAP. The manager
that has been running it since the death, has another job and needs to start very soon. My wife and I have been there everyday for the past 2 weeks getting the training we need to take over, and now that they know were going to take over they are doing this. Help what can I do?

It is difficult to give an accurate response from the limited amount of facts. However, if you have a signed purchase agreement you may have a claim for "tortious interference with contract." Even if you do not have a signed agreement you may have a claim for "tortious interference with business expectantcy." You need to get with an attorney in your area to provide you more negotiating strength. Start documenting everything you do and all conversations with and about the computer company.
