Legal Question in Business Law in Michigan

Llc

2 partners in business. LLC created but not signed. 1st partner (1P) paid $47,000 directly to manufacturer for product. 2nd partner (2P) picked up product but 1P has never seen it. 1P has asked repeatedly to see the product but 2P keeps making excuses as to where the product is. 1P is concerned 2P sold the product without 1P's knowledge and kept the money. 1P was the silent money guy and 2P was the worker guy. Is there grounds for a lawsuit or is 1P screwed? Could there be criminal charges brought against 2P?

Re: Llc

answering the second question first, the police would probably not consider this a criminal matter, but you can certainly check. As to the breach of agreement, there is absolutely a case against the second partner. I would be happy to look into this matter. Visit me at www.kliszlaw.com. Tim Klisz
