Legal Question in Business Law in Michigan
I have an oral agreement with a corporation to represent them regarding raising capital....they had the contract, but had not yet signed. They repeatedly told me and others that my firm was hired, and we incurred costs on their behalf, namely legal, and other expenses. In the last few days, they have sold the company, and are refusing to pay my retainer amount, I am thinking about filing a lien, is this the best approach, or do I have to sue?

In this situation if the legal costs you incurred were reasonably foreseeable under the circumstances, it may be possible to sue the corporation to recover those costs. However, in order to better advise you on this matter I would need to sit down with you and discuss the facts further including reviewing the language of the unsigned contract.
