Employer Educational Assistance

I accepted a job at Williams International in May 2007 with the stipulation that I must obtain a Bachelor's degree before I get my next raise/promotion from Associate Product Support Rep to Product Support Rep. Williams pays 100% tuition. In September of 2007 they amended the companies Policies and Procedures stating if the payments were received by the employee within a 1 year period of a voluntary quit (which is my case), then 100% of repayment must be made. HR wants me to sign a letter to agree that I owe them in excess of $12K dollars for the educational benefits I took advantage of based on the Policies and Procedures of the company. Am I truly liable since I did not sign an agreement or contract? Is a policy and procedure from an employer a binding contract on a benefit that I had to take to advance in the company?
