S-Corp. Two incorporators. One now
disinterested. One wants to set-up.
Can one call the first meeting, invite
the others and set up a board of
directors?

You state there are 2 incorporators. How about Shareholders? Are there Bylaws? Stock Subscription agreement?
Is the corp worth anything (does it have assets)? You should have corporate counsel review and advise.
SH Litigation can be expensive.
