Forming a Corporation or not?

I am in the process of buying a business in MN. It is a seasonal climbing wall operating at a local festival. I will be the sole owner and will have employees but will not be selling any merchandise just the service of people climbing on the wall. I'm wondering if I should set up a Sole Proprietorship or LLC or something else?

I would recommend having an attorney go over your business structure with you to determine the best solution for your business. As a Business Attorney with 25 years experience, I can tell you without hesitation that you SHOULD set up an LLC, preferable to a Sub-S COrp in your situation.

I do this as a regular part of my practice, and can advise you on an appropriate liability WAIVER you will want your customer/climbers to sign.
