Forming a Corporation or not?
I am in the process of buying a business in MN. It is a seasonal climbing wall operating at a local festival. I will be the sole owner and will have employees but will not be selling any merchandise just the service of people climbing on the wall. I'm wondering if I should set up a Sole Proprietorship or LLC or something else?

I would recommend having an attorney go over your business structure with you to determine the best solution for your business. The limits on liability that an LLC offers may be one benefit of incorporating. I would be happy to look into this for you and draft the incorporation documents for a reasonable rate. As a Business Attorney with 25 years experience, I can tell you without hesitation that you SHOULD set up an LLC, preferable to a Sub-S COrp in your situation.
I do this as a regular part of my practice, and can advise you on an appropriate liability WAIVER you will want your customer/climbers to sign.
