new idea

what are the legal steps to take before proposing a new idea to a company. So they don't just steal my idea and use it.

That depends on your idea. There are definitely some things you can do, such as writing down your idea, mailing that to yourself, and keeping the letter and the envelope. I cannot guarantee that will work in your case, though, because I don't know what your idea is or what you're trying to do. It may well be that you need to speak to a lawyer to be sure.

1st: You should have an experienced business attorney prepare a Confidentiality and Non-Disclosure Agreement.

2nd:You should obtain a legal opinion as to the Intellectual Property rights presented, and how best to secure them under MN and Federal Law.

3rd:You should have your attorney present any proposal for business relationship to the company, so they know your legal rights are being protected.
