Non-disclosure Agreement (Confidentiality)
We want to approach a potential buyer for the sale of our Colorado business. We live in Minnesota and the potential buyer lives in South Dakota. We assume we would need a signed non-disclosure agreement signed by the potential buyer to keep shared financial information confidential along with the fact that we are marketing the business. However, which state's form shoud we use? Also, is there anything else to be aware of?

This is what business attorneys do for a living. I have handled transactions for both buyers and sellers ranging from $ 500K to $ 73M.
Unless you like litigation, or don't think the business is worth some preventative legal advice, you should be represented. ( SO should the buyer.)
