Legal Question in Business Law in Minnesota

i am parnter in a company and request to review the accounting ledgers is being

i am part owner of a company (two other partners who are in Canada) and 7 days ago asked the partners and our accounting person(who is in mn, where all the banking and accounting are done) to let me have the books for the past 3 years, along with all bank statements and inventory records, so that i can have them reviewed. they have not produced the information... what's my next step?

yes, i am concerned that there has been something going on that i have not been privy to, thus i want them reviewed.

i just want to know my next step... and thank you in advance.

I assume that the company is a corporation. If it is a Minnesota corporation, it is governed by the Minnesota corporation statute. Assuming that you are a shareholder, you have certain rights to access the financial records; and if that is refused, you can go to court and get a court order requiring that you be provided with that info.

The question I would have for you is under what state's or country's law is the corporation set up and where is the main office of the corporation. That would determine which law book to look in for details as to how you go about demanding access to the records. The down side to this is that you might have to sue these guys in Canada and you might need a Canadian lawyer to do that. Might have an international law question - which frankly would be beyond my experience.
