If the corporation went through the legal process of filing Articles of Liquidation and/or Articles of dissolution with the Secretary of State, then there may be a good defense to any suit. Naturally, anyone can file a suit against the corporation at any time. Many small corporations do not follow through with the legal process to wind up the corporate affairs, and that leaves not only the corporation, but the directors and officers on the hook at least to the extent that they hold any corporate assets. If you are involved in such a situation, I would suggest that you hire an attorney.
