Legal Question in Business Law in Missouri

corporation vs. llc

We have a corporation now. Our accountant wants us to change to an llc. He said the laws are changing concerning liability in a corporation. Is this true? Is it in our best interest to change to an llc?

Re: corporation vs. llc

This is probably a decision that needs to be made based on legal advice, not accounting advice. The rules regarding liability and the requirements of making sure your corporate duties are properly documented make owning a corporation more record-intensive. An LLC has no such requirements. However, in my view, there are specific times when only a corporation will do. You need to seek out a business attorney in your local area and double-check the accountant's advice on this issue. That advice can only be given by an attorney who knows the facts with respect to your situation.
