Legal Question in Business Law in Missouri

i am in the process of selling a business and the interested party is wanting to look at my books for the last 3 years. there has been no contract written on the busines yet. i was woundering if you knew of where i could find a business confidentiality statement so that my business is not disgussed with other parties.

There may be forms available on the internet, but you should spend the money to have an attorney draft one specific to yrou situation and have the interested party execute it in front of that attorney and their notary. The value in a confidentiality agreement is in having it observed, not in collecting damges for breaching it. Having your attorney explain the agreement to the other person may increase the probability that it will be taken seriously. On the other hand, it may not be practicable to get a buyer to agree to not seek informed advice from others before making their final purchase decision. Perhaps if you are specific about what information you do not want divulged, it might work better.
