Specific Information and/or Restrictions on Parent/Subsidiary Relationship in Du

Please provide any restrictions, guidelines and/or information on how parent/subsidiary companies relate to each other in the Netherlands specifically. I'm looking for any and all information on the topic including information on voting rights, shareholder meetings, management duties, etc. If there is a source that I should view, please let me know.

Martindale Hubbell directories have volumes that give a synopsis of individual countries' laws. You can try M-H online or try and find the volumes at a law library.

Also try online research. Various law schools have virtual libraries on the Internet that may include volumes on international law.

the parent company usually holds all shares in the subsidiary company. any company acts through its statutory management. the appointment, conditions and firing of statutory management is the exclusive competence of the meeting of shareholders, that however does not have the authority to give other than general instructions to the management. the guideline for good management is in general what serves the company's best interest.

so therefore the management of the parent company is to exercise the powers as the meeting of shareholders of the daughter-company, assuming that the daughter-company is a seperate legal entity.
