Legal Question in Business Law in Nevada
Foreign LLC Formation
I am forming an LLC for a NY-based web/graphic design company that will do business nationwide. Based on my research, Nevada and Delaware are the best states to incorporate. Which state would be the most advantageous to form the LLC?

If you are going to be based in NY and doing business there, then a NY LLC would be the best choice. Even with a Delaware or Nevada LLC, you will need to register to do business in NY if you are based and doing business in NY. And you will be subject to the NY LLC Law just the same. This means that you will need to publish notification of the formation of your LLC and if in NYC will be subject to the unincorporated business tax.
