Legal Question in Business Law in Nevada

Needed: Nevada Attorney

I've posted on here several times before.. I basically had a lady that I hired, and put a bunch of records and computer stuff at her house.. decided one day to keep it all.. and without what she had.. I could not operate business... Although I know that on August 25th she signed minutes to the annual corporate meeting stating that I had just purchased every share of the corporation and she was hired as treasurer/director.... I tried to get everything back weeks ago with the cops like three times, but with no success.. Now, her attorney has written myself a letter saying "She owns all the shares, and that I resigned as president, and that I continue to assert control.. and to formalize the resolution as president, I should sign and return a paper that says I resign as president.. Although I never sold nor resigned.. although I do not have a stock certificate for the shares.. she has blank ones in her possesion, but in Nevada Statues it says explictly even without the cirtficates.. I legally still hold the shares.. Now I want to sue... for equipment, and damages, as she caused us to go out of business.. A paralegal said that being a minor I could not bring on the suit.. but the corporation could... and I do not want to go small claims, there is a $3,500.00 limit.. Any referalls, or ideas what I can expect to pay to get the ball rolling?

Nevada Corporation Records

I suggest you contact the local Bar Association or get a recommendation of an attorney. I suggest to you if the facts are as represented the corporations still belongs to you and you would be entitled to a return of the records. I suspect there are facts that are missing in your narrative. Did you pay this woman, did you file 941 taxes for tax withholding. A great deal more information is needed before an opinion can be given as to the proper course of action. What evidence of payment does this woman have regarding ownership. You would of have to signed the stock transfering your interest. However, I do not know if the stock was ever issued to you. There are many gaps of information that can be explored with a local attorney. As a practical matter does the corporation have any value to justify the expense and is this woman owed any wages?
