As a Franchise Attorney I can say this. First, you're talking about two different legal theories - nondisclosure is different from noncompete. They are entirely different as are their legal requirements and ramifications. Verbal or oral contracts can be as enforceable as written ones. The problem is proving oral agreements. Consult with a good business or franchise attorney in your area for specific advice.
