I want to address your misunderstanding regarding California law. In California non-disclosure agreements are fully enforceable, as they probably are everywhere. In fact, this is how employers enforce their right to prohibit the use of trade secrets and customer lists by ex-employees.
They use this method because non-compete agreements will not be enforced by California courts. California considers non-compete agreements to be a restriction on a person's right to engage in their chosen livelihood. Most other states do not take this view.
