Legal Question in Business Law in New Hampshire

I am a member of an LLC that was discontinued several years ago. The LLC is being sued along with 2 of it's members directly. We have tried to cooperate, but now we have run out of money. Can we legally be sued directly? What is at stake at this stage of the game?

Unfortunately, the answer to your question is, "it depends." Who exactly is being sued? If you gave a personal guaranty or any of the members personally guaranteed the debt, then you are likely at risk. The LLC may protect you from personal liability, but that has to be properly plead in the court. I suggest that you need to meet with an attorney to review the LLC documents and the law suit and supporting materials to determine what risk you may have in this situation.
