Dissolution of LLC
I formed an New Jersey LLC earlier this year.
The business was opened for a time but never realized any sales or profits. No employees, no profits or losses.
The financing I anticipated on getting fell through.
I now want to wind up the business.
Besides filing with the state, dissolution certificate?, what other steps do I have to take, ie with IRS or NJ taxation.
Any other items that have to be addressed.

If nthe business was inactive, you should merely have to file a Certificate of Dissolution, but I would contact IRS to let them know what is happening, if you applied for a Tax Identification Number, as they will be looking for a return otherwise. Get your Certificate of Dissolution in before 12/31 and filed, or you mjay have an Annual Report liability if this carries over to 2006. You can file a Certificate that indicates you were inactive, and it is available on the State Treasury web site.
