I always advise clients to take the money if the check is unconditional (not marked "paid in full.") Maybe they are acting under the Security Agreement or Pledge Agreement to declare a default and trying to take away your interest in the business. You definitely need a good business attorney to review the documents, defend you in the litigation, and negotiate a resolution to the problem.
I hope this helps!
