Legal Question in Business Law in New Jersey

I was a resident partner in a LLC in the years 2006 and 2007, the state has sent a letter stating that we never filed the part-100 form for those two years the business closed in december of 2007. are we responible to fill these forms out and pay the filing fees

If you have more than two owners and you have income or loss derived from NJ sources, you are required to complete the Filing Fee Schedule located on the back of Form PART-100. You may wish to visit www.state.nj.us/treasury/taxation/pdf/current/part/part100in.pdf for more information. If you consulted a lawyer when forming the LLC, he/she could have advised you on this point. If you didn't consult a lawyer, you can see why it may have prudent to do so.
