A contract is created when there is an offer and an acceptance of that offer. Unless there is some special statute that permits rescission, the acceptance is the instance of creation and the obligations of both parties to perform arises at that time.

Some state legislatures have cut out some exceptions to this rule and permitted rescission within a certain number of days. Typically, these contracts arise from "high pressure" sales where a salesperson engaged in the regular sale of goods comes to the customer's home and, in some cases, for automobiles. There is no such rule for general contracts.

As a general rule, contracts are not unilaterally rescindable.
