Legal Question in Securities Law in New Jersey
Non-Filing Companies
I work for a broker/dealer that specializes in Pink Sheet Securities. We have purchased large block of companies that have been believed to be a non-filing company. Meaning the last filing with the SEC was over 5 years ago, and the stock is trading at a nominal price. ie. $0.00001 per share. Based on the last SEC filing that had the Total Shares Outstanding, we have aquired more than 5%. Does this require a 13G filining?
