Legal Question in Business Law in New York

acquiring indian entity

I outsource work to India. I'm not sure if the company is ''incorporated'' in the way that we think of it here in America or if they are a ''sole propietorship'' of some kind. Anyway because we are doing so much business together and developed a great relationship I would eventually like to merge or acquire them. How do I go about doing this? Should they become a subordinate company under my corporation or should they become a division such as ''123 Asia'' ?

we can find out whether indian entity is regisyered as company under Companies act, 1956 if you supplied us the name of company and its address and indian entity shall never come to know about this enquiry.

the law for formation of company in India and USA are almost similar.

other query reagarding taking over the indian entity, it is highly technical field involving various law and we need complete detail before advising you on this issue. there are various way for acquiring Indian entity and the permission for investing and acquiring the Indian entity is required from Government of India.
