Legal Question in Business Law in New York
Looking for advise setting up a consulting contract, between a municipality (who issued an RFP) and myself and a colleague (together, as partners, we submitted a proposal to the RFP). My colleague and I will both serve as equal 1099 sub-contractors on a grant project that the town received. Are there any intricacies to be aware of, when structuring the contract language, which will be between the town (client) and my friend and I (each serving as equal contractors). Any online resources which outlines examples of such contracts? Would like to avoid either forming an LLC or either of us having to singly, receive the funds and issue a sub-sub-contract to the other (with another level of 1099s.)

There is almost nothing anyone could offer here that will be of any meaningful help because there are far too many variables. You can either invest in proper legal attention and make sure you have the right agreement between you and your partner and are on the right track legally, or you can thumb through it yourself and hope you get it right. If you never have a problem, you saved some money. If you do have a problem you might end up in costly litigation.

These types of agreements can be somewhat involved and complex even when issued by small towns. One size does not fit all and the municipality may have a form that it uses that you would need to use and revise or it may ask you for a first draft. In addition, you need to consider the relationship between yourself and your colleague in connection with this contract. For example, what happens if one of you wants to leave the project before it ends? Or what happens if the town subsequently only wants to work with one of you?
