Legal Question in Business Law in New York
How do I change the business purpose of an LLC from an investment club to a management company?
1 Answer from Attorneys
You make an amendment in the state record assuming this purpose was articulated in the articles in such a way.
Typically, when you state the business purpose at the time of the formation it is almost always "for any lawful purpose" so you never have to be concerned about a changing or evolving charter. In some rare cases, the LLC has to state a specific purpose or duration.
