Legal Question in Business Law in New York

Company Reps

We are a worldwide manufacturing company. We have Reps that rep our product. As a company which sends in purchase orders, is our contractural agreement with the customer equally as with the rep. or are they different. Can we legally notify the reps. of customers' poor payment practices without or should all communication be to the customer?

Re: Company Reps

The answer first depends on what your agreements (if any)with the reps say. After that, it depends on how the parties behave in the relationship and what authority the reps are given. The reps could be independent brokers; they could be the buyer's agent; they could be the seller's agent.

With more information I could give a more specific answer.

Re: Company Reps

All of the issues you raise depend on the terms of the contracts that run among the company, the reps and customer. It is impossible to answer these questions without reviewing these documents.
