Legal Question in Business Law in New York
Corporate dissolution and liability
Can I be held responsible for workers comp audit premiums after my corporation has been disolved. Can I open a new business at the same address and if so am I liable for the dissolved company. I have paid all taxes owed on the disolved company. Can't afford the workers comp though and I would need a new policy for the new business

Re: Corporate dissolution and liability
Generally, at dissolution a corporation must pay a certain amount of its debts depending upon various factors - I could not specifically give you information without looking at the specifics of your situation. However, after dissolution and the formation of a new corporation generally the new corporation would not be liable for any debts of the previous one, except under certain circumstances.
