Re: corporation form

This information is included in your corporate bylaws and unanimous written consent of the directors and shareholders.

Re: corporation form

Mr. Brodsky is correct. The corporate bylaws and unanimous consents, however, are not public documents. These are the forms you fill out if you are forming a corporation.

If you are seeking information that's already out there:

For publicly available information on who the principals, officers, directors and shareholders are in any one PUBLICLY TRADED corporation, your best bet may be the SEC filings of a publicly traded company (though these do not list all shareholders, just the shareholders who control a certain percentage of the stock). You can find the SEC filings in the EDGAR database at www.sec.gov/edgar.shtml

Closely held companies have just the bylaws and unanimous consents that Mr. Brodsky named, since, except in certain cases, they are not required to file with the SEC. You'd probably need a subpoena to get ahold of these unless you are seeking the info about the corporation in which you are a shareholder, officer or director. Even then, you may need a subpoena, depending on the relationships of the parties.

THE INFORMATION PRESENTED HERE IS GENERAL IN NATURE AND IS NOT INTENDED, NOR SHOULD IT BE CONSTRUED, AS LEGAL ADVICE. THIS POSTING DOES NOT CREATE ANY ATTORNEY-CLIENT RELATIONSHIP BETWEEN US. FOR SPECIFIC ADVICE ABOUT YOUR PARTICULAR SITUATION, CONSULT YOUR ATTORNEY.
