Legal Question in Business Law in New York
corporation tax
I sold my business in 2001 and never closed the corporation. We never filed taxes after that and now they are telling us than we have to pay taxes for all the years we were not in business because we never dissolved the corporation. Are we responsible to pay for the taxes on a business closed on 2001

Re: corporation tax
The taxes that you are being asked to pay relate to the annual tax filing and any late fees and penalties. The fact that the corp was in existence requires you to file a tax return each year, both federal and state. So I would suggest that you contact the State Dept of Taxation, and the IRS and resolve the issue, or contact an attorney to handle it for you.
You will also need to officially dissolve the corp by filing the necessary docs with the Corps Division.
