Legal Question in Business Law in New York

Dear Law Guru,

I have a business idea... (a non profit) ... and I want to share it with other people in order to get their opinion. However, I know that these people might have an interest in stealing that idea from me. How do I protect my idea from the possibility of it being stolen?

You may have the individuals sign a confidentiality agreement.

Any attorney will tell you to have all persons sign an NDA (Nondisclosure Agreement) before you discuss anything. Consult with an attorney in your area for specifics.

A confidentiality, or non-disclosure agreement is always advised, however you should remember that it's only a piece of paper. If the other people violate the agreement's terms, you still have the enormous expense of bringing legal action against them (and it may be too late anyway). Your best bet is to use discretion, and disclose only as much as you need to, and assume the worst.
